1. GENERAL INFORMATION

1.1. Scope

These Terms and Conditions (“Terms”) govern the use of all services provided through the website (“Website”) and mobile application (“Mobile Application”) operated by Embedya Yazılım Donanım ve Arge Ltd. Şti. (“Embedya”, “we”, “us”, or “our”).

These Terms apply to all users who visit, register with, or use the Website, Mobile Application, or any of our services.

By using the Website or Mobile Application, you are deemed to have accepted these Terms. If you do not agree to these Terms, you must not use the Website or Mobile Application.

2. DEFINITIONS

The following terms used in these Terms shall have the meanings set out below:

  • Website: Embedya’s website

  • Mobile Application: Embedya’s mobile application

  • User: Any person who visits or uses the Website or Mobile Application

  • Member: A user who has completed the membership registration process

  • Services: All services provided, including e-commerce, training, consultancy, software licensing, etc.

  • Content: All text, images, videos, software, and other materials

  • Products: All physical and digital products offered for sale

  • E-Commerce: Online sale of products

  • Software Licenses: Digital licenses and activation codes

  • Training Services: Classroom/workshop training and online courses

  • Technical Support: Product and software support services

  • Membership Programs: Points-based rewards and benefits programs

3. DESCRIPTION OF SERVICES

3.1. Services Provided

All products and services offered by Embedya are covered under this section.

3.2. Modification of Services

Embedya reserves the right to modify the content of its services, introduce new services, or discontinue existing services without prior notice.

4. CONDITIONS OF USE

4.1. General Use

  • The Website may only be used for lawful purposes.

  • Users must comply with applicable laws, generally accepted standards of morality, and the rights of third parties.

  • Users must not engage in activities that may disrupt or interfere with the operation of the Website.

4.2. Account Security

  • Users are responsible for maintaining the security of their accounts.

  • Passwords must be kept confidential and must not be shared with third parties.

  • Embedya must be notified in the event of any suspicious activity or unauthorized use.

4.3. Prohibited Activities

The following activities are strictly prohibited:

  • Using bots, crawlers, or similar automated systems

  • Engaging in activities that threaten system security

5. PRODUCT AND SERVICE INFORMATION

5.1. Product Information

  • Although reasonable efforts are made to ensure the accuracy of product information, Embedya cannot be held liable for errors or inaccuracies.

  • Product specifications may vary depending on the manufacturer.

  • Stock availability may not always be updated in real time.

5.2. Pricing

  • All prices are displayed inclusive of VAT.

  • Embedya reserves the right to change prices.

  • Discounts are valid only for the stated period and subject to the applicable conditions.

5.3. Software Licenses

  • Software licenses are considered digital content.

  • Once a license or activation code has been used, the right of withdrawal shall no longer apply.

6. ORDERS AND PAYMENT

6.1. Placing an Order

The ordering process consists of selecting products, reviewing the shopping cart, and completing the payment process.

6.2. Payment Methods

  • Credit card

  • Debit card

  • Bank transfer / EFT

  • Cash on delivery, where available

6.3. Payment Security

  • A PCI DSS-compliant payment infrastructure is used.

  • Payment card information is not stored by Embedya.

6.4. Bank Transfer / EFT

  • Orders are processed on the date the payment is received.

  • Orders that are not paid within one week will be cancelled.

7. DELIVERY

7.1. Delivery Times

  • The standard delivery period is 1–3 business days.

  • Delivery times may vary for special or customized products.

7.2. Delivery Address

  • Delivery will be made to the address specified by the user.

  • Any change of address must be notified within 24 hours.

7.3. Delivery Costs

  • Delivery charges may vary depending on the selected shipping company and the total order amount.

  • Free delivery may be offered for orders exceeding a specified amount.

8. WARRANTY AND RETURNS (Summary)

  • Right of withdrawal: 14 days

  • General return period: 30 days, subject to applicable conditions

  • Warranty: Varies depending on the type of product

  • Return shipping costs are borne by the user

9. INTELLECTUAL PROPERTY RIGHTS

All content belongs to Embedya and may not be used without authorization.

Any content shared by users shall be subject to the rights and permissions granted to Embedya for its use.

10. PERSONAL DATA AND PRIVACY

Personal data is processed in accordance with the Turkish Personal Data Protection Law (“KVKK”).

11. LIMITATION OF LIABILITY

Embedya’s liability is limited to direct damages.

Embedya shall not be liable for indirect, incidental, consequential, or special damages.

12. COMMERCIAL COMMUNICATIONS

Commercial communications through channels such as email, SMS, telephone, and mobile notifications shall be based on the user’s explicit consent.

13. MEMBERSHIP

  • Membership registration is completed online.

  • Members are required to provide accurate and up-to-date information.

  • Membership may be cancelled upon the user’s request.

14. AMENDMENTS TO THE TERMS

Any amendments to these Terms shall become effective upon publication.

Users may be notified of material changes by email.

15. TERMINATION

Embedya may suspend or terminate a user’s access in the following circumstances:

  • Violation of these Terms

  • Engagement in prohibited activities

  • Provision of false or misleading information

  • Where required by law

16. FORCE MAJEURE

Neither party shall be held liable for failure or delay in performing its obligations due to events beyond its reasonable control, including natural disasters, war, strikes, and similar circumstances.

17. GOVERNING LAW AND JURISDICTION

The laws of the Republic of Türkiye shall apply.

Any disputes shall be resolved by the competent courts and enforcement offices located where Embedya’s registered office is situated.

18. MISCELLANEOUS PROVISIONS

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  • These Terms constitute the entire agreement between the parties regarding their subject matter.

  • Failure to exercise any right shall not constitute a waiver of that right.

  • Users may not assign or transfer their rights under these Terms.
